1. Use of Services

You may use the Services only in compliance with these Terms and applicable laws.

• Reverse engineer or copy platform functionality

We reserve the right to suspend or terminate access for violations.

2. Relationship to Client Service Agreements

These Terms apply to general website and platform use.

If your company has entered into a separate agreement with Ataraxis (such as a Client Service Agreement or PEO agreement), that agreement governs the services provided to your organization.

PEO services are delivered within a defined structure that may include payroll administration, benefits coordination, and HR support, with responsibilities shared between Ataraxis and the client.

3. No Legal or Financial Advice

Ataraxis provides HR, payroll, and administrative services.

Nothing in the Services constitutes legal, tax, accounting, or investment advice.

Clients remain responsible for compliance with applicable laws.

4. Account Responsibility

If you access secure areas of the Services:

• You are responsible for maintaining confidentiality of credentials
• You must notify us of unauthorized access
• You are responsible for activity under your account

5. Intellectual Property

All content, technology, and materials within the Services are owned by Ataraxis or its licensors.

You are granted a limited, non-exclusive, non-transferable right to use the Services.

You may not:

• Copy, distribute, or modify content
• Attempt to access underlying code or systems
• Use Services for competitive or development purposes

These protections align with standard SaaS/IP provisions.

6. Client Data and Privacy

Your use of the Services is subject to our Privacy Policy.

In general:

• Clients own their business data
• Ataraxis processes data to deliver services
• We implement safeguards to protect data

Where Ataraxis processes personal information on behalf of clients, such processing is governed by our Service Level Agreement, which further defines the roles and responsibilities of each party.

7. Acceptable Use

You agree not to:

• Upload harmful or malicious code
• Use the Services to transmit unlawful content
• Interfere with system functionality
• Attempt unauthorized access

We may suspend or terminate access for violations.

8. Availability of Services

We strive to maintain availability but do not guarantee uninterrupted access.

We may:

• Modify or discontinue portions of Services
• Perform maintenance
• Update systems and features

9. Fees and Payment (If Applicable)

Certain Services may require fees.

Unless otherwise specified:

• Fees are defined in applicable agreements
• Payments must be made on time

12. Limitation of Liability

To the maximum extent permitted by law:

• Ataraxis is not liable for indirect or consequential damages
• Liability is limited to amounts paid (where applicable)

Limitation of liability clauses are standard in service agreements to prevent unlimited exposure.

13. Indemnification

You agree to indemnify and hold harmless Ataraxis from claims arising from:

• Your use of the Services
• Violation of these Terms
• Misuse of data or systems

You agree to comply with all applicable:

Client agreements may further define compliance responsibilities.
